Terms of Service

These terms are an agreement between you and Gitvance. They govern your use of our website, the workspace, and every 1Git tool. Please read them carefully.

1. Acceptance of these terms

By creating an account or using any part of Gitvance, you agree to these terms and to our Privacy Policy. If you are using Gitvance for an organization, you confirm that you have authority to bind that organization to these terms. If you do not agree, do not use the service.

2. Definitions

  • "Service" means the Gitvance website, workspace, and all 1Git tools.
  • "1Git tools" means the assessment, forms, productivity, and AI features offered inside the workspace.
  • "Tokens" means the prepaid usage credits that are consumed when you take actions in the Service.
  • "Plan" means a free or paid subscription that includes an allowance of tokens and a set of features.
  • "Content" means anything you create, upload, submit, or generate using the Service.

3. Accounts and eligibility

You must provide accurate information when you sign up and keep it current. You are responsible for your account and for keeping your password secure. You must be at least the age of 18 to use the Service. You are responsible for all activity that happens under your account.

4. Organization accounts

You may use the Service as an individual or as a member of an organization. In an organization account, an administrator manages members, plans, tokens, and access. Administrators may view membership and usage information for the organization, and may control what members can do. If you join an organization, you understand that the organization controls that account and the content within it.

5. Plans, tokens, and usage

The Service is offered through a free plan and paid plans, and through prepaid token packs.

  • Each plan includes a set of features and a monthly allowance of tokens. The free plan includes a limited allowance.
  • Tokens are consumed as you use the Service. Actions across the 1Git tools, including but not limited to AI requests, creating items, running assessments, collecting responses, and exporting data, deduct tokens according to our current usage rates.
  • When your available tokens run out, token consuming actions pause until your allowance renews, you upgrade your plan, or you add a token pack.
  • We may update our usage rates and plan allowances. When we make material changes, we will give notice through the Service or by email.
  • Tokens have no cash value, are not transferable, and cannot be exchanged for money.

6. Payment

Paid plans and token packs are sold through our third party payment processor, which may act as the seller of record and handle applicable taxes. By purchasing, you authorize the processor to charge your selected payment method.

  • Subscriptions renew automatically at the end of each billing period until you cancel.
  • You may cancel a subscription at any time. Cancellation stops future renewals and takes effect at the end of the current period.
  • Prices are shown before purchase and may change with notice for future billing periods.
  • Refunds are handled as described in our Refund Policy.

7. Acceptable use

You agree not to:

  • Break the law or infringe the rights of others.
  • Upload or generate content that is unlawful, harmful, harassing, or deceptive.
  • Attempt to access accounts, data, or systems you are not authorized to access.
  • Interfere with, overload, or disrupt the Service.
  • Reverse engineer, copy, or resell the Service except as the law allows.
  • Use the Service to build a competing product, or to train a competing model, without our permission.
  • Attempt to bypass token metering, usage limits, or security controls.

We may suspend or limit accounts that violate these rules.

8. AI tools

The AI tools generate responses using third party providers, and your input is sent to those providers to produce a response. Please keep the following in mind:

  • AI responses can be inaccurate, incomplete, or out of date. You are responsible for reviewing and verifying any output before relying on it.
  • AI responses are not professional advice, including legal, medical, or financial advice.
  • Do not submit personal, sensitive, or confidential information into the AI tools.
  • You are responsible for how you use AI output, and for making sure that use complies with the law and with these terms.

9. Your content

You keep ownership of the content you create or upload. You grant us a limited license to host, store, process, and display your content as needed to operate the Service and to provide it to you. This includes sending input to third party providers to deliver the AI tools. You are responsible for having the rights to the content you submit, and for the responses you collect from others.

10. Our intellectual property

The Service, including its software, design, branding, and the 1Git and Gitvance names, belongs to us or our licensors. These terms do not give you any rights in our intellectual property except the limited right to use the Service as allowed here.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or end your access if you violate these terms, fail to pay, or use the Service in a way that creates risk for us or others. When your account ends, your right to use the Service stops, and we may delete your content after a reasonable period, subject to our legal obligations.

12. Disclaimers

The Service is provided on an as is and as available basis, without warranties of any kind, whether express or implied, to the fullest extent the law allows. We do not warrant that the Service will be uninterrupted, error free, or that any output will be accurate or fit for a particular purpose.

13. Limitation of liability

To the fullest extent the law allows, Gitvance will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event that gave rise to the claim.

14. Indemnification

You agree to defend and hold us harmless from claims, losses, and expenses that arise from your content, your use of the Service, or your violation of these terms or the law, to the extent permitted by applicable law.

15. Changes to the Service and these terms

We may change, add, or remove parts of the Service, and we may update these terms. When we make material changes to the terms, we will update the date above and give notice where appropriate. Your continued use after an update means you accept the revised terms.

16. Governing law and disputes

These terms are governed by the laws of the Republic of Kenya, without regard to conflict of law rules. Any dispute will be resolved in the courts of Nairobi, Kenya, unless applicable law gives you the right to bring a claim elsewhere.
